NEC Electronics Announces Merger of a Subsidiary


KAWASAKI, Japan, January 25, 2006

NEC Electronics Corporation (TSE: 6723) has decided at a meeting of the board of directors held today, to merge its wholly-owned subsidiary NEC Compound Semiconductor Devices, Ltd., effective April 1, 2006. This merger will be implemented in line with "simple merger" procedures.


1.Reason for Merger
NEC Compound Semiconductor Devices develops, manufactures and sells optical semiconductors and microwave devices. To consolidate and concentrate its management resources into the NEC Electronics Group and improve operating efficiency, NEC Compound Semiconductor Devices will be merged with NEC Electronics.


2.Conditions of Merger

(1) Schedule

January 25, 2006

January 25, 2006

 

General shareholder's meeting

 

 

 

NEC Electronics Corporation

Will not be held

 

 

NEC Compound Semiconductor Devices, Ltd.

Note:

Pursuant to the provisions of Article 413.3.1 of the Commercial Code of Japan, NEC Electronics shall perform the merger with NEC Compound Semiconductor Devices without the approval of the merger agreement by its shareholders.

 

   

(2) Merger Method

 

NEC Electronics will absorb the subsidiary as the surviving company, dissolving NEC Compound Semiconductor Devices.

 

   

(3) Merger Ratio

 

As NEC Electronics owns all of the stocks issued for NEC Compound Semiconductor Devices, no new stocks will be issued and paid-in capital will not be increased due to this merger.

 

   

(4) Merger Consideratio

 

No consideration will be paid in this merger.
